ARTICLE I:  Name

Friends of the Centreville Regional Library (FOCL)

ARTICLE II:  Purpose

The Friends of the Centreville Regional Library (FOCL) is an association of volunteers organized for educational purposes.  The FOCL is a charitable tax exempt organization under section 501(c)(3) of the Internal Revenue Code.  The purpose of the FOCL is to establish and maintain an association of persons interested in libraries and the promotion of  reading; to stimulate the use of library resources and services; to encourage the use of library facilities as a cultural and community center; to encourage community members to support all aspects of the library with their time and resources; to support and cooperate with libraries in developing public library services; to focus public attention on library services, facilities, and needs, with special emphasis on developing and maintaining programs beneficial to the Fairfax County Public Library system in general and the Centreville Regional Library in particular.

ARTICLE III:  Membership

Sec 1.  FOCL membership is open to all individuals that support its purposes. 

Sec 2. The FOCL Board is the voting body of this organization. Each Board member shall be entitled to one vote.

Sec 3. Conduct of members while acting on behalf of the FOCL shall be in accordance with rules governing an organization exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code.  Banned or forbidden activities include participating in propaganda, attempting to influence legislation, and participating in any political campaign on behalf of or in opposition to any candidate for public office.

ARTICLE IV:  FOCL Board Responsibility and Composition

Sec 1.  Board Responsibility.  The FOCL Board is responsible for overall programming, services, materials, policies and disbursement of funds.  Funds cannot be disbursed without the approval of the Board.

Sec 2. Board Composition. The Board is comprised of, but not limited to, the following voting positions:  President, Vice-President, Treasurer, Secretary, and Members at Large. The Branch Manager of the Library serves as a non-voting ex-officio member of the Board.  Additional Board positions and members may be added by a majority vote of the Board as deemed necessary.

Sec 3. Term of Office. The term of office for each Board position is two years.  Board officers may be renewed with a 2/3 majority vote of the full Board. 

Sec 4. Vacancies. Vacancies are to be filled by a 2/3 majority vote of the full Board.

Sec 5.  President Duties.  The President ensures the effective action of the Board in governing and supporting the organization and oversees Board affairs. Acts as the representative of the FOCL with external groups and ensures that Board matters are handled properly, including preparation of an agenda and pre-meeting materials.  Works closely with Treasurer on financial matters and disburses funds in Treasurer's absence.

Sec 6.  Vice President Duties. Performs the functions of the President in the absence of the President.

Sec 7.  Treasurer Duties.  The Treasurer manages the  review of, and actions related to, the Board's financial responsibilities; is the primary point of contact for banking matters; pays all obligations and files required reports in a timely manner.  Reports on financial results of FOCL operations at each Board meeting.

Sec 8.  Secretary Duties.  The Secretary is the Board's recording officer and the custodian of the Board's agenda and meeting minutes.  The Secretary also prepares and maintains the list of Board Officers and Members.




ARTICLE V:  Board Meetings

Sec 1.  Monthly Meetings.  FOCL Board meetings are held on the third Tuesday of the month.  The need may arise to change the meeting schedule such as the absence of key Board members.  In those cases, the President may reschedule the Board  meeting with a simple majority vote of the Board.

Sec 2.  Special Meetings. The President, or a simple majority of the Board, may call a special meeting of the Board with five days notice. 

Sec 3. Virtual Meetings. On some occasions, the Board may need to make a decision on a single topic before the next scheduled Board meeting.  In those cases, the President or any Board Member may send an email to other Board members asking for their position with a simple majority vote prevailing.

Sec 4.  Public Meetings.  All meetings are open to the public.



ARTICLE VI:  Funds and Tax Status

Sec 1.  Fiscal Year.  The FOCL fiscal year coincides with the calendar year, January 1st to December 31st.

Sec 2.  Tax Exemption.  As an organization devoted to charitable and educational purposes, the FOCL has filed such papers as necessary to be categorized as a tax exempt organization under the provision of Section 501(c)(3) of the Internal Revenue Code.

Sec 3.  Funds Compliance. All funds received and disbursed by the FOCL shall be handled in such a manner as to comply with rules and regulations of the Internal Revenue Service pertaining to 501(c)(3) tax exempt organizations.  No part of the revenue shall inure to the benefit of any FOCL Board Officer or Member or any private individual (except that reasonable compensation may be paid for services rendered to or for the FOCL).

Sec 4.  Handling Funds.  All funds are to be deposited in a bank account(s) of the Friends of the Centreville Regional Library, and will be disbursed by the Treasurer or the President of the Board. All checks for $500 or more will require signatures of both the Treasurer and the President.

ARTICLE VII:  Amendments

These By Laws may be amended at any meeting of the Board of the Friends of the Centreville Library by a two-thirds majority vote of the full Board.

ARTICLE VIII:  Dissolution

Upon the dissolution of the Friends of the Centreville Regional Library, the Board shall, after paying or making provision for the payment of all FOCL liabilities, transfer the funds then remaining in its possession to the Fairfax County Public Library for deposit in the Library Gift Fund, designated for the use and benefit of the Centreville Regional Library.
